Terms of Service

Welcome to Mortgage Solutions OS. These Terms of Service ("Terms") govern your access to and use of our platform, including the borrower portal, consultant tools, referral partner features, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accepting a portal invitation, submitting a form, or otherwise using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Service on behalf of a business or entity, you represent that you are authorized to bind that entity.
2. Description of Service
Mortgage Solutions OS is a lead-to-close operating system for mortgage consultants and their clients. It includes loan tracking, document collection, e-signatures, AI-assisted explanations, calculators, and communication tools. The Service is provided for mortgage planning and origination support only and does not constitute legal, tax, or financial advice.
3. User Responsibilities
You agree to provide accurate, complete, and truthful information when using the Service. You are responsible for maintaining the confidentiality of your portal links and login credentials, and for all activity that occurs under your account or portal session.
Borrowers must promptly upload requested documents, respond to lender conditions, and review all disclosures before signing. Referral partners must only submit leads they are authorized to share.
4. Acceptable Use
You may not use the Service to:
- Submit false, misleading, or fraudulent information;
- Impersonate another person or entity;
- Access another user's portal without authorization;
- Upload malware, spam, or unlawful content;
- Reverse engineer, decompile, disassemble, copy, or attempt to derive the source code, data model, workflows, prompts, scoring rules, or underwriting logic of the platform;
- Scrape, crawl, index, harvest, or use any bot, spider, or automated means to access the Service, or circumvent any rate limit, access token, or security control;
- Reproduce, clone, frame, mirror, resell, sublicense, or create a derivative or competing product from any part of the Service, its interface, or its output;
- Use the Service to build, train, or fine-tune any machine learning or AI model;
- Remove or obscure any copyright, trademark, or proprietary notice;
- Attempt to gain unauthorized access to any account, portal, or system;
- Violate any applicable federal, state, or local law.
5. E-Signatures and Consent
By using the e-signature feature, you consent to the electronic delivery and signing of documents. You acknowledge that electronic signatures have the same legal effect as handwritten signatures where permitted by law. Signed documents are stored securely and become part of your loan file.
6. Intellectual Property
All platform content, trademarks, software, source code, designs, screen layouts, document templates, checklists, underwriting and red-flag rule sets, AI prompts, and generated output are the exclusive property of, or licensed to, Mortgage Solutions OS and are protected by copyright, trade secret, and trademark law. You retain ownership of the documents and data you upload. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your own loan transaction during your active relationship with your consultant — and for no other purpose.
No part of the Service may be copied, adapted, or used to develop a similar or competing product or service. We reserve all rights not expressly granted, and we may pursue injunctive relief and damages, including attorneys' fees where permitted by law, for any unauthorized copying, access, or use.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind. Loan estimates, calculators, and AI-generated explanations are for planning and communication purposes only and do not guarantee loan approval, terms, or closing. Always consult your mortgage consultant, lender, and qualified professionals before making financial decisions.
8. Limitation of Liability
To the fullest extent permitted by law, Mortgage Solutions OS and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.
9. Termination
We may suspend or terminate access to the Service if you violate these Terms, misuse the platform, or if your consultant relationship ends. Upon termination, your right to use the Service immediately ceases, but documents already signed or submitted may remain in the loan file as required by law or lender policy.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated through the platform or by email where practical.
11. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Michigan.
12. Licensing and Regulatory Disclosures
Mortgage brokerage services are offered through a Michigan-licensed mortgage broker regulated by the Michigan Department of Insurance and Financial Services (DIFS) and registered in the Nationwide Multistate Licensing System (NMLS). License and NMLS identification numbers are disclosed on your loan documents and on request. We are a broker, not a lender: we arrange loans with third-party lenders and do not make credit decisions. Nothing in the Service is a commitment to lend, a rate lock, or an approval.
13. Fair Lending and Equal Housing
We do business in accordance with the Equal Credit Opportunity Act (ECOA) and the Fair Housing Act. We do not discriminate on the basis of race, color, religion, national origin, sex, marital status, familial status, disability, age, or because all or part of your income comes from a public assistance program. If you believe you have been discriminated against, you may file a complaint with the Consumer Financial Protection Bureau or the U.S. Department of Housing and Urban Development. 14. Electronic Records Consent (E-SIGN)
By checking the agreement box or signing electronically, you consent under the federal E-SIGN Act and the Michigan Uniform Electronic Transactions Act to receive disclosures, notices, and loan documents electronically, and to sign them electronically. You may withdraw this consent or request paper copies at any time by contacting your consultant; withdrawal may delay or prevent processing of your file. To access electronic records you need a current web browser, internet access, and an email address you monitor.
15. AI-Assisted Features
Certain features use artificial intelligence to draft letters of explanation, summarize uploaded documents, identify likely lender conditions, and flag issues in real estate documents. AI output is a draft only. It is reviewed by a human before it is used in a loan file, is not legal, tax, or financial advice, does not create an attorney-client relationship, and is never a credit decision. You are responsible for confirming the accuracy of any statement you adopt as your own, including letters of explanation you sign.
